Scope of Services:

- Assist clients with respect to negotiating and drafting term sheets

- Design, establish, revise and restructure transaction structure

- Legal due diligence

- Analyze legal issues in connection with the project, and issue legal opinions

- Organize or participate in project negotiations

- Review, draft and revise legal documents with respect to investments or acquisitions

- Provide legal advice on government approvals, registration and other regulatory compliance matters

- Assist clients with respect to project or transactional organization or management
